DidemBio Terms of Use

Effective date: October 26, 2026

These Terms of Use govern accounts and use of the DidemBio research analysis service provided by DidemBio LLC, a Texas limited liability company, at 8080 Westpark Drive STE 98209, Houston, TX 77063, USA ("DidemBio," "we," "us," or "our"). Contact: legal@didembio.com.

Please read these Terms before accepting them. DidemBio is for research use only. Identifiable or regulated human research data are prohibited. Sections 15 through 18 address warranties, liability, indemnification, and disputes. Mandatory rights under applicable law remain protected.

Contents

1 Your agreement with DidemBio

1.1 Acceptance. These Terms become binding when you affirmatively accept them through our account registration or acceptance process. You must accept before accessing account features, uploading datasets, purchasing credits, or running analyses. If you do not agree, do not activate or use the account. Merely visiting a public webpage does not constitute acceptance of these account Terms.

Acceptance is captured by a distinct, unchecked “I agree to the Terms of Use” checkbox, with a link to these Terms, that the user must select before an account is created; we retain a record of the version accepted and the time of acceptance.

1.2 Parties and definitions. "You" or "Customer" means the individual accepting for their own use, or the organization for which an authorized representative accepts. "Service" means our hosted research analysis platform, its account features, documentation, and related support. "Customer Data" means datasets, metadata, files, labels, and other materials you provide for processing. "Results" means reports, figures, tables, and other outputs generated from Customer Data. "Credits" means the prepaid service units also called "tokens" in the app. "Business Customer" means a Customer acting for purposes of a trade, business, institution, or profession. "Consumer" means a person entitled to consumer protections under the law applicable to the transaction; labels in these Terms do not determine statutory status.

1.3 Other documents. The purchase details you approve, these Terms, and any separately signed agreement govern the Service. A separately signed agreement prevails over conflicting Terms within its scope; mandatory law always prevails. An applicable data processing agreement governs its data protection subject matter. Our Privacy Notice at https://didembio.com/privacy explains personal information processing. Acknowledging that notice is not blanket consent to processing, marketing, or international transfers. Material additional conditions require disclosure and acceptance before the affected purchase or feature is used. Purchase orders do not change these Terms unless we expressly agree in writing.

The current Privacy Notice and these Terms are published at https://didembio.com/privacy and https://didembio.com/terms and are linked at account registration and checkout. Prior versions are available at https://didembio.com/privacy/archive and https://didembio.com/terms/archive.

2 Eligibility and institutional use

2.1 Adults. You must be at least 18 and have the legal capacity to enter this agreement. Where the age of contractual capacity is higher, you must meet that requirement. The Service is intended for adults conducting lawful research, including individual researchers and authorized institutional users.

2.2 Organizations. A person accepting for an institution or company represents that they have authority to bind it. An institutional email address, job title, or academic affiliation alone does not establish that authority. If your institution requires a procurement review or signed agreement, complete it before using the Service on its behalf. Accepting as an authorized representative does not make you a personal guarantor of the institution's payment obligations.

2.3 Authorized users. An organizational Customer must ensure that its authorized users follow the applicable use and data restrictions. Each user must use their own account unless an expressly supported organizational arrangement provides otherwise. Public bodies and universities should contact us if their legal authority prevents acceptance of a provision; mandatory restrictions on their contracting authority are not waived by these Terms.

3 Accounts and security

Provide accurate registration and billing details, keep them current, and use credentials that you are authorized to use. Protect passwords, verification links, and access tokens. Do not share an individual account or impersonate another person. You are responsible for activity you authorize and for losses caused by your breach of these security obligations, subject to applicable law. You are not automatically responsible for unauthorized activity caused by our failure to meet our obligations.

Notify legal@didembio.com promptly if you suspect unauthorized access, a security incident, or an accidental upload of prohibited data. We may verify account ownership before changing access or disclosing information. We will not request your password by email. Account recovery, fraud prevention, and verification may temporarily limit access.

4 The Service and research limitations

4.1 Scope. DidemBio provides computational analysis and reporting for supported scientific datasets, which may include single cell and single nucleus RNA sequencing, bulk RNA sequencing, cytometry, and other expressly supported assays. Available methods, supported inputs, limits, and charges are described in the app or documentation. A feature mentioned in a roadmap is not a commitment to deliver it.

4.2 Research use only. The Service and Results are not offered or validated for clinical diagnosis, treatment, patient management, emergency use, or medical decision making. Do not use them for these purposes or represent Results as a clinical test or medical recommendation. We do not provide medical advice or a regulated clinical laboratory service through this account agreement. The research restriction does not itself determine regulatory status or excuse either party from applicable law.

4.3 Scientific judgment. You are responsible for selecting suitable data and methods and reviewing quality control, assumptions, sample design, batch effects, annotations, statistical comparisons, and Results. Computational methods and reference datasets have limitations; errors, incomplete outputs, and differences across software versions or environments can occur. Independently validate findings before publication or consequential research use. A completed run does not guarantee a significant result, biological conclusion, publication acceptance, grant award, or exact reproduction across every environment.

4.4 Research records. Preserve original data, analysis settings, software and reference versions, and downloaded Results needed for your research record. Generated methods text and citations require your review. You are responsible for research ethics, scientific integrity, publication requirements, and any approvals that apply to your work. These responsibilities do not excuse a failure by us to provide the Service as agreed.

5 Permitted data and your responsibilities

5.1 Launch restriction. Only upload research data that do not identify an individual, are not reasonably capable of identifying an individual, and are not regulated human personal data under applicable law. Do not upload protected health information under HIPAA, personal health or genetic data, identifiable biometric data, medical records, participant contact details, identifying images, reidentification keys, or other identifiable or regulated human research data. This restriction applies to filenames, embedded metadata, free text, support attachments, and Results you import, as well as the principal dataset.

5.2 Coded and genomic data. Removing names or replacing them with participant codes does not necessarily make data anonymous. Pseudonymized data, detailed combinations of attributes, and human sequence or molecular data may still identify people or remain regulated. A dataset being public, consented, or labeled "deidentified" does not establish permission to upload it. Assess the actual data and applicable requirements before uploading; if uncertain, do not upload and contact us first. Nonhuman, synthetic, and sufficiently anonymous human data may be used only if all other rights and restrictions permit the processing.

Human genetic, genomic, and sequencing data are presumed to identify an individual, and may be regulated special-category data, unless robust and demonstrated anonymization establishes otherwise. If in doubt, do not upload and contact us first.

5.3 No regulated data authorization. These Terms are not a HIPAA business associate agreement, a data processing agreement for personal research datasets, or authorization to transfer regulated data. We do not accept prohibited data under this agreement. Any future offering permitting such data would require separate written approval, suitable contractual documents, and an expressly enabled service. An ordinary support response or your acceptance of these Terms does not create that permission.

5.4 Your rights and permissions. You represent that you have the rights and permissions needed to submit Customer Data and instruct the processing and permitted disclosures described here. Follow applicable participant permissions, ethics approvals, repository licenses, funder restrictions, institutional policies, and data use agreements. Do not upload controlled access data or data subject to incompatible location, confidentiality, or access restrictions.

5.5 Accidental submission. Stop further uploads and promptly report suspected prohibited data without repeating sensitive information in your message. We may restrict access, quarantine processing, or remove affected data where reasonably necessary. We will handle any incident and required notices in accordance with applicable law. A contractual prohibition does not eliminate legal duties that arise if prohibited data are actually received.

6 Acceptable use

You must not use the Service to:

You may report security concerns responsibly to legal@didembio.com. These Terms do not prohibit lawful criticism, research publications, good faith complaints, protected reporting to authorities, or disclosures protected by law.

7 Ownership of data and results

7.1 Your materials. As between you and DidemBio, you retain your rights in Customer Data. Subject to third party rights and our preexisting software and materials, Results generated specifically from your Customer Data belong to you to the extent ownership rights exist. We assign to you any rights we may acquire in those Results, excluding our preexisting materials. We do not promise that every output is protectable intellectual property or exclusively available to you.

7.2 Service license. You grant us a nonexclusive, limited license to host, copy, process, transmit, and display Customer Data and Results only as needed to provide and secure your Service, perform requested support, and meet legal obligations. We may permit contracted service providers to perform these activities for us under appropriate restrictions. The license continues only for these purposes during the applicable retention period and ends as copies are deleted. It does not authorize public disclosure, advertising use, sale of datasets, or an unrelated research program.

7.3 Model use. We do not use Customer Data or Results to train, fine tune, or improve reusable models for our own purposes or for other customers, and we do not permit providers to do so. A statistical or machine learning method you select may fit a model to your dataset solely to perform your requested analysis; that is part of providing your Results. We do not send Customer Data to generative AI providers for general model training. Any future materially different use would require a separate, explicit agreement; accepting an ordinary Terms update does not authorize it.

For the avoidance of doubt, we do not use Customer Data, uploads, or Results to improve or develop our products or services, except as necessary to provide and support your requested analysis.

7.4 Use and publication. You may download and use Results in lawful academic and commercial research, subject to these Terms and applicable third party licenses. We claim no authorship or publication approval right over your research merely because you use DidemBio. Observe required third party acknowledgments and do not imply our endorsement. We may not use your name, logo, dataset, or research findings in publicity without permission.

7.5 Feedback. You may voluntarily provide suggestions. You give us a nonexclusive, perpetual, worldwide, royalty free right to use suggestions to improve the Service without payment. This permission does not include Customer Data, Results, personal information, or confidential research supplied in a support request merely because it accompanies feedback.

8 Confidentiality and privacy

8.1 Confidential materials. We will protect nonpublic Customer Data and Results with reasonable care, use them only for the purposes authorized here, and restrict access to personnel and providers who need it and are subject to appropriate confidentiality duties. Each party will similarly protect the other's nonpublic information identified as confidential or reasonably understood to be confidential. These duties exclude information lawfully known without restriction, independently developed, rightfully obtained from another source, or public without a breach. Trade secrets remain protected while they qualify as trade secrets; other confidential information remains protected for three years after the agreement ends. Data protection duties continue as required by law.

8.2 Required disclosure. A party may disclose information to the extent legally required. Where legally permitted, it will give reasonable notice so the other party can seek protection and will limit disclosure to what is required. Authorized incident response and security investigations may also require limited access consistent with law and the Privacy Notice.

8.3 Account information. The prohibition on personal research data does not prevent collection of ordinary account, billing, and support information needed to operate the Service. Our Privacy Notice describes purposes, recipients, retention, applicable rights, and contact procedures. We remain responsible for our own duties under privacy and security law; we do not transfer all compliance obligations to you.

8.4 Providers and location. Hosting, payments, communications, and limited reference lookups may involve service providers. The Privacy Notice must identify the actual processing locations and relevant recipients, including any external gene or pathway identifier lookups. Do not assume that data remain in your country or exclusively within your account. Where personal information is transferred internationally, we must use any safeguards required by law; acceptance of these Terms is not a substitute. We make no claim of regulatory certification, a particular security certification, or a specific storage location unless expressly stated in an applicable written commitment.

9 Prices and prepaid credits

9.1 Purchases. Prices, credit quantities, material usage limits, and applicable taxes are disclosed before you approve a purchase. Prices are in U.S. dollars unless checkout expressly states otherwise. Your payment provider may apply its own conversion charges. You authorize only the disclosed payment you approve. Card payments are handled by our payment provider, currently Stripe. Relevant payment provider terms apply to its own services where presented; they do not replace our obligations to you.

9.2 Credits. Purchased Credits become available when payment is successfully confirmed. They are service units, not a bank account, investment, cryptocurrency, or transferable currency, and earn no interest. They may be used only for eligible DidemBio services and may not be sold or transferred without approval. Purchased Credits do not expire merely through passage of time or inactivity. Refund and closure rights are addressed below. Any conditions or expiration for separately identified promotional Credits must be disclosed before they are granted and do not apply to purchased Credits.

9.3 No recurring charge. Ordinary credit purchases do not create a subscription, automatic renewal, or automatic replenishment. Any future recurring service would require separate disclosure and express authorization of its price, frequency, renewal terms, and cancellation method.

9.4 Analysis charges. Before a chargeable analysis or storage extension, we show the applicable Credit charge or maximum authorization. We may reserve Credits while work is pending. We do not charge above an approved maximum without further approval. If support prepares a rerun, it will not start or use Credits until you approve that run and its displayed authorization in the app. A request for help alone is not payment authorization. Cancellation after processing starts may still consume Credits as described in Section 10.

9.5 Academic pricing and changes. Academic pricing requires genuine qualifying affiliation and verification or approval. We may request reasonable evidence and correct eligibility prospectively. Deliberate misrepresentation may result in suspension and a claim for the documented difference to the extent lawful, after notice and an opportunity to dispute it; it does not authorize an undisclosed card debit. Future prices and credit costs may change with appropriate notice, but changes do not alter a completed purchase, an approved run price, or purchased Credit quantities. Sections 13 and 20 govern materially adverse changes to existing arrangements.

9.6 Payment problems. Contact us promptly about suspected billing errors; any requested reporting period does not shorten statutory rights. After reasonable notice, we may reverse Credits attributable to an actually reversed or fraudulent payment and restrict further paid use while a shortfall is resolved. We will explain the adjustment and consider supporting information. Good faith use of lawful payment dispute or chargeback rights is not itself a breach. You owe only lawful charges properly incurred; we will not recover the same amount twice.

10 Cancellations and refunds

10.1 Ordinary policy. Subject to Sections 10.3, 14, and 19 and applicable law, purchased Credits and Credits used for completed processing are nonrefundable. Credits pay for computational work and supported outputs, not a desired scientific finding. You may stop using the Service at any time.

10.2 Run outcomes. We release or restore the full reserved Credit amount if a run never starts processing, or fails because of our worker or infrastructure failure. After processing starts, cancellation by you or a failure attributable to your data or selected configuration may consume the approved Credits. Examples may include corrupt or unsupported inputs, unsuitable method choices, and resource or time limits disclosed before approval. An error label alone does not establish fault: a timeout, memory error, or analysis failure caused by our failure to provide the agreed Service remains subject to the appropriate remedy. Contact us if the classification appears incorrect. Any discretionary partial Credit adjustment is additional to mandatory rights.

10.3 Money refunds. Restoration of unused or failed-run Credits is distinct from refunding a purchase to your payment method. If law, an applicable purchase commitment, or these Terms entitles you to a monetary refund, we will provide it through the original payment method unless you expressly agree to another lawful method. We will not substitute Credits for a legally required monetary refund. Section 19 explains Consumer withdrawal and other remedies. Section 14 addresses unused purchased balances when we end access without your material breach.

11 Storage and deletion

11.1 Standard windows. Unanalyzed uploads are scheduled for deletion seven days after upload. Analysis Results normally remain available for 30 days after the run completes. Inputs used in analyses follow the applicable analysis retention schedule shown in the app. Where offered, a paid pin extends the displayed retention deadline by 30 days at the price shown before approval. Pinning must complete before deletion begins. Failed or abandoned incomplete uploads may be removed sooner under the upload limits disclosed in the interface.

11.2 Your copies. Download required data and Results before the displayed deadline and keep independent copies. We send scheduled deletion reminders where available, but email delivery may fail; a reminder does not extend a displayed deadline. The Service is not a permanent research archive. After deletion, restoration may be impossible. Nothing in this section excuses loss caused by our breach of a storage obligation or overrides a statutory retrieval right.

11.3 Closure and retained records. You may request account deletion through account settings or legal@didembio.com. Account closure can make stored files unavailable, so first export what you need and resolve any refund request. We delete or retain remaining information according to the Privacy Notice, applicable law, and any applicable data processing agreement. Legally required financial, security, or dispute records and limited backup copies may have different retention periods. We do not promise immediate erasure from every backup. Any retained copies remain protected and are not available for unrelated use. Mandatory access, erasure, and portability rights remain available.

12 Software and third party materials

DidemBio and its licensors retain their rights in the platform, proprietary workflows, software, interfaces, documentation, branding, and preexisting report templates. Subject to these Terms, we grant you a limited, nonexclusive right to access the Service during your authorized use. For our materials embedded in lawfully obtained Results, we grant the license reasonably needed to use, reproduce, and publish those Results. This does not transfer platform source code or authorize redistribution of the Service itself.

Open source components, reference models, databases, gene sets, and other third party materials remain subject to their applicable licenses and notices. These Terms do not remove rights granted by those licenses or grant rights we do not hold. Where a material restriction affects an offered use, we will disclose it before you select or purchase that use. You must comply with applicable attribution and downstream use restrictions when reusing those materials.

Third party websites or independently selected integrations have their own terms. We do not control them or guarantee their availability. This does not exclude our responsibility for providers we engage to perform our own contractual obligations.

13 Availability and changes to the Service

We will use reasonable care and skill to provide the Service as agreed. Unless a separate written service level agreement applies, we do not promise uninterrupted availability, a particular completion time, or compatibility with every input or system. Maintenance, queues, technical faults, and lawful security measures may interrupt access. Beta or experimental features will be identified and may have additional disclosed limitations; mandatory rights still apply.

We may update the Service for valid reasons, including security, legal compliance, compatibility, correction of scientific or technical errors, and reasonable operational improvements. For a change materially reducing an already purchased service or the usable value of existing Credits, we will give at least 30 days' advance notice where reasonably possible and offer an appropriate opportunity to use the existing arrangement or obtain a refund for the affected unused purchased portion if you reject the change. Urgent security or legal changes may require shorter notice. Consumer protections in Section 19 take priority.

If we discontinue the paid Service, we will give reasonable advance notice, ordinarily at least 30 days, provide an opportunity to retrieve retained Customer Data and Results, and refund the unused purchased balance and any prepaid service we cannot supply. Existing disclosed data expiration dates still apply unless we agree to extend them or law requires otherwise.

14 Suspension and termination

14.1 Your choice. You may close your account or terminate this agreement by using the account controls or contacting us. Stopping use does not itself cancel processing already authorized or erase charges properly incurred. Refunds follow Sections 10 and 19.

14.2 Our action. We may suspend or terminate access for a material breach, prohibited data, unlawful activity, nonpayment of an undisputed amount, or a credible security or fraud risk. We will act proportionately and, where feasible and lawful, explain the reason and allow a reasonable opportunity to correct a remediable breach, normally 10 days. Immediate restrictions may be necessary to prevent harm, protect data, or comply with law. Contact legal@didembio.com to request review. We may also discontinue a customer relationship without cause on at least 30 days' notice, subject to the refunds below.

14.3 Data access. When safe and lawful, we will provide a reasonable opportunity to retrieve retained Customer Data and Results before final closure. This does not automatically extend ordinary retention deadlines. We may restrict retrieval of unlawful or prohibited materials or where it would expose someone else's information. Applicable statutory retrieval rights remain protected.

14.4 Balances. If we terminate without your material breach, discontinue the Service, or cannot provide a purchased service, we will refund the affected unused purchased Credits and unprovided prepaid services. Refunds use the amount actually paid attributable to the unused portion, excluding free promotional Credits. If termination follows your material breach, refunds follow applicable law and Section 10; any lawful withholding or setoff must be tied to amounts properly owed or substantiated loss and cannot operate as an unlawful penalty. Credits are not automatically forfeited merely because access is suspended.

15 Warranties and disclaimers

15.1 Business use. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND SUBJECT TO OUR EXPRESS COMMITMENTS AND SECTION 16.1, THE SERVICE AND RESULTS ARE PROVIDED TO BUSINESS CUSTOMERS "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT. We do not warrant that Results will be error free, identify every biological signal, or meet an undisclosed research objective. You must exercise the scientific judgment described in Section 4.

15.2 Protected rights. The preceding disclaimer does not apply to rights or guarantees that cannot lawfully be excluded. For Consumers, we provide the Service with the care, quality, functionality, and conformity required by applicable law. Statements that become binding under applicable law remain binding. We do not disclaim our express obligations in these Terms, including confidentiality and authorized data use.

16 Limits on liability

16.1 Exceptions. Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation; willful misconduct or gross negligence; death or personal injury caused by negligence where exclusion is prohibited; or any other liability that applicable law does not allow us to exclude or limit. Nothing waives nonwaivable data protection compensation, mandatory consumer remedies, or applicable statutory protections, including the Texas Deceptive Trade Practices Act. Required refunds and return of amounts improperly charged are not reduced by the cap below.

16.2 Business limits. SUBJECT TO SECTION 16.1, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIDEMBIO AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO A BUSINESS CUSTOMER FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR LOSS OF DATA, ARISING FROM THE SERVICE. THEIR COMBINED AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNT YOU PAID DIDEMBIO FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM. These limits apply across connected claims and legal theories, including contract and ordinary negligence, even if the possibility of loss was foreseeable. They do not apply where a separately signed agreement expressly provides a different allocation.

16.3 Consumers. Section 16.2 does not apply to Consumers. To the extent permitted by applicable law, we are responsible for reasonably foreseeable loss caused by our breach or failure to use required care, and are not responsible for loss not caused by us or loss that was not reasonably foreseeable. Nothing in this paragraph narrows any stricter responsibility imposed by mandatory law. You must take reasonable steps to avoid or reduce loss where the law requires it.

17 Business customer indemnification

This section applies only to Business Customers, and only to the extent permitted by applicable law and the Customer's legal contracting authority. You will defend DidemBio and its personnel against third party claims, and pay resulting damages, reasonable legal fees, and settlements approved by you, to the extent caused by your unlawful submission of Customer Data, infringement of third party rights by your Customer Data, prohibited clinical use, or material breach of Sections 5 or 6. This obligation does not cover the portion caused by DidemBio's breach, negligence, willful misconduct, or unauthorized alteration or use of your data.

We must promptly notify you of the claim, provide reasonable cooperation at your expense, and permit you to control the defense with reasonably qualified counsel. Delay in notice reduces your obligation only to the extent it prejudices the defense. You may not settle with an admission of fault by us, a nonmonetary obligation on us, or no full release of the protected parties without our written consent, not to be unreasonably withheld. We may participate with our own counsel at our expense. Consumers have no obligation under this section.

18 Governing law and disputes

18.1 Contact first. Please send a description of a dispute and your requested resolution to legal@didembio.com. Both parties will try in good faith to resolve it for 30 days after receipt. This does not prevent an urgent injunction, a timely filing to preserve rights, a complaint to authorities, or a Consumer using a remedy without delay. It does not shorten a legal limitation period or make informal contact a prerequisite to protected remedies.

18.2 Texas law and courts. Subject to Section 19 and mandatory law, Texas law and applicable U.S. federal law govern these Terms. The courts of competent jurisdiction in Harris County, Texas, including the U.S. District Court for the Southern District of Texas where federal jurisdiction exists, have exclusive jurisdiction over disputes, and the parties consent to those courts. This agreement does not create federal subject matter jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply to the extent its exclusion is permitted.

18.3 No imposed arbitration. These Terms do not require binding arbitration, waive jury trial, or impose a class action waiver. Any later arbitration agreement must be separately and validly agreed. Nothing prevents either party from using an available small claims process or reporting concerns to a regulator where applicable law permits it.

19 International and consumer provisions

19.1 Mandatory local law. These Terms apply where we lawfully offer the Service. They do not authorize use or data transfers prohibited by local law. You and we must each comply with laws applicable to our respective activities, including applicable export controls and sanctions. Do not use the Service for a prohibited person, end use, or destination, or evade applicable restrictions. We may limit availability where legally required.

A choice of Texas law or Texas courts does not deprive a protected Consumer of mandatory rights or access to courts provided by the law applicable to them. Where required, a Consumer may bring proceedings in their home jurisdiction and we may bring proceedings against them only in the jurisdiction permitted by law. In particular, EU Consumers retain applicable protections of their country of habitual residence when the legal conditions for those protections are met. Consumer status and protections are determined by law, not merely by account type or an academic discount.

19.2 EU and EEA withdrawal. Where applicable law grants a withdrawal right for an online service purchase, you ordinarily have 14 days after conclusion of the relevant contract to withdraw without giving a reason. Free account registration does not start or exhaust a later purchase's withdrawal period. To withdraw, send a clear statement to legal@didembio.com or our mailing address in Section 22, use the optional form in Appendix A, or use our online withdrawal function at https://didembio.com/withdrawal. Send the notice before the applicable deadline. If required information was not provided, statutory extensions apply.

We will return payments due under a valid withdrawal without undue delay and within 14 days after receiving notice, using the original payment method unless you expressly agree otherwise, without a refund fee. If you expressly requested that a paid service begin during the withdrawal period after receiving the required information, you may owe only the proportionate amount lawfully due for service supplied before withdrawal. A service withdrawal right is lost after full performance only if all required express consent and acknowledgment conditions have been met.

Separate rules can apply to digital content supplied without a physical medium. We will rely on a loss of withdrawal rights for that content only where its legal classification and all required prior express consent, acknowledgment, and confirmation requirements are satisfied. Opening an account, accepting these Terms, receiving Credits, or uploading a file is not by itself a blanket waiver. Your checkout or service authorization will explain any applicable early performance request separately.

19.3 EU and EEA digital service remedies. Applicable law may entitle you to supply of the agreed service, correction of a lack of conformity, a price reduction, or termination and reimbursement. Required functionality and security updates must be supplied for the legally required period. We do not restrict statutory remedies to Credits. For an adverse modification beyond what is needed to maintain conformity, we will provide required information and any required advance notice on a durable medium. Where the legal conditions are met, you may terminate without charge within the applicable 30 day period after notice or the modification, whichever is later. Required rights to retrieve eligible content after termination remain available. National implementing laws govern the details.

19.4 Other jurisdictions. UK Consumers retain applicable rights under the Consumer Rights Act 2015 and distance contracting rules. Australian customers retain applicable Australian Consumer Law guarantees and remedies that cannot be excluded, including remedies for major service failures. Customers elsewhere retain equivalent mandatory local rights, including applicable refund, fairness, privacy, and language protections. Provisions labeled for Business Customers also yield to statutory protections that apply to qualifying businesses or institutions. If local law requires a different result, it controls to that extent.

20 Changes to these Terms

We may propose changes to address new features, legal requirements, security needs, or reasonable changes in how the Service operates. We will identify the updated version and effective date and give at least 30 days' advance email or in-app notice of materially adverse changes where reasonably possible. A shorter period may be needed for legal or urgent security reasons, which we will explain.

We will obtain affirmative acceptance of a materially revised agreement before further substantive account use under it. Changes do not retroactively change an accrued claim, authorize a new use of previously submitted Customer Data, or alter a completed purchase or approved charge. If you decline a materially adverse change affecting existing prepaid services, contact us for a refund of the affected unused purchased portion and retrieval of still-retained materials. Necessary access to export, cancellation, refunds, and legal rights will not be conditioned on accepting new commercial terms. Prior versions will remain available at https://didembio.com/terms/archive.

21 General provisions

21.1 Notices and records. We use your account email and the app for service notices. Keep your email current and retain copies of accepted Terms, purchase confirmations, and important notices. We will supply records in a retainable form where required. If a law requires separate consent or disclosures for electronic delivery, we will obtain or provide them; accepting these Terms alone does not waive those requirements. Marketing choices are separate from necessary service communications.

21.2 Events outside control. Neither party is liable for delay caused by an event beyond its reasonable control that reasonable precautions could not prevent, provided it takes reasonable steps to mitigate the effects. This does not excuse charges already properly due, required refunds, failure to use required care, or duties that cannot be excused by law. If a prolonged event prevents supply of a prepaid service, applicable termination and refund rights remain available.

21.3 Assignment. You may not transfer this agreement or an account without our reasonable written approval. We may transfer it to a successor in a merger, reorganization, or sale of the relevant business if the successor assumes our obligations and your protections are not materially reduced. We will give any legally required notice and honor any legally required consent or termination right. Assignment does not authorize new uses of personal information.

21.4 Interpretation. These Terms and applicable accepted purchase details or signed agreements form the agreement for their subject matter. They do not exclude reliance or remedies that cannot lawfully be excluded. If a provision is unenforceable, it will be severed to the extent the law permits, and the rest will remain effective where legally possible; an unfair Consumer provision will not be rewritten merely to make it enforceable. A failure to enforce a provision is not a continuing waiver. There is no partnership, employment, or agency relationship. Except for the persons expressly protected by Sections 16 and 17, there are no intended third party beneficiaries, subject to mandatory law.

21.5 Survival and language. Provisions intended to continue by their nature survive termination, including accrued payments, ownership and permitted use of Results, confidentiality, retained-data obligations, applicable liability provisions, and dispute provisions. The English text governs to the extent permitted by law, but mandatory language requirements and protected rights are unaffected.
